1. Introduction

Welcome to Glomerix (“Company,” “we,” “our,” “us”). By accessing our website, purchasing our services, or using our automated systems (collectively, the “Services”), you (“Client,” “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not use our Services.

2. Scope of Services

Glomerix provides business automation, web design, CRM implementation, and digital growth consulting.

  • Customization: While we tailor our systems to your needs, our solutions are built on specific frameworks. Any requests outside the agreed scope of work (SOW) will be billed as an additional service.

  • Third-Party Tools: Our services often integrate with third-party software (e.g., GoHighLevel, Zapier, OpenAI, WordPress). We do not own these platforms and are not responsible for their downtime, API changes, or data breaches.

3. Payments, Deposits, and Refunds

  • Payment Schedule: Services are billed according to the specific proposal or invoice sent to you.

    • Project-Based Work: Requires a non-refundable deposit (typically 50%) before work begins, with the remaining balance due upon completion or milestones.

    • Monthly Retainers: Must be paid in advance on the 1st of every month.

  • Late Payments: Invoices not paid within 7 days of the due date may incur a late fee of 10%  per month. We reserve the right to pause all services and automation workflows if payment is delinquent.

  • Refund Policy: Due to the custom nature of our work and the intellectual property involved:

    • Deposits are non-refundable.

    • Once a service has been rendered or an automation system installed, no refunds will be issued.

4. Client Responsibilities

To ensure the success of your project, you agree to:

  • Provide all necessary access (login credentials, API keys) in a timely manner.

  • Review and approve drafts/systems within 7 business days. Failure to provide feedback in this window will be considered approval.

  • Ensure that your use of our automated marketing tools (email/SMS) complies with local laws (e.g., GDPR, CAN-SPAM, TCPA). You are solely responsible for obtaining consent from your leads.

5. Intellectual Property (IP) Rights

  • Your Data: You retain full ownership of your customer lists and business data.

  • Our Work: Upon full payment, you own the final output of the website and specific text/images created for you.

  • Background IP: Glomerix retains ownership of our proprietary automation scripts, “Growth Engine” frameworks, and pre-built templates used to create your system. You are granted a non-exclusive, non-transferable license to use these systems for your own business, but you may not resell or replicate our code/systems for other businesses.

6. Limitation of Liability

  • No Guarantees: While we implement proven systems, Glomerix does not guarantee specific financial results, revenue numbers, or lead volumes. Marketing results vary based on industry, budget, and economic factors.

  • Damages: To the fullest extent permitted by law, Glomerix shall not be liable for any indirect, incidental, or consequential damages (including loss of data, revenue, or profits) arising from the use of our services.

  • Liability Cap: Our total liability for any claim shall not exceed the amount actually paid by you to Glomerix during the three (3) months prior to the event giving rise to the claim.

7. Termination

  • By Client: You may terminate monthly services with 30 days’ written notice.

  • By Company: We reserve the right to terminate this agreement immediately if you violate these Terms, fail to make payments, or abuse our staff/systems.

  • Effect of Termination: Upon termination, all outstanding balances become immediately due. Access to proprietary Glomerix tools or hosted services may be revoked.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Islamic Republic of Pakistan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Multan,Pakistan.
